DISPUTE RESOLUTION: UNLESS YOU TIMELY OPT OUT OF ARBITRATION IN ACCORDANCE WITH THESE TERMS AND CONDITIONS, YOU AND WE AGREE THAT ANY DISPUTE BETWEEN YOU AND US—OR BETWEEN YOU AND ANY OF OUR MEDICAL GROUPS OR PROVIDERS—ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, EXCEPT FOR CERTAIN LIMITED EXCEPTIONS, SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS, AS FURTHER DETAILED BELOW. MORE INFORMATION ON EXCEPTIONS AND HOW TO OPT OUT OF ARBITRATION CAN BE FOUND BELOW.

 

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR SEEK IMMEDIATE IN-PERSON MEDICAL ATTENTION. THE SERVICE IS NOT INTENDED FOR ALL TYPES OF MEDICAL CONDITIONS. PLEASE READ THIS AGREEMENT CAREFULLY, AS IT MAY BE MODIFIED AT ANY TIME AS PROVIDED HEREIN.

 

Apollo Based Health LLC, doing business as EONMeds (“EONMeds,” “we,” “us,” or “our”), owns and operates the website located at www.eonmeds.com, and may now or in the future also own and operate an EONMeds mobile application and other related digital properties (collectively, the “Platform”). Your use of the Platform—including all related content (“Content”), products, services, and any affiliated websites, applications, or services operated or provided by EONMeds (collectively, including the Platform and Content, the “Service”)—is governed by these Terms and Conditions (the “Terms” or the “Agreement”).

 

We ask that you read this Agreement carefully, as it sets forth important rights and obligations related to your use of the Service. In this Agreement, “you” and “your” refer to the individual accessing or using the Service, or, if applicable, the parent or legal guardian accessing or using the Service on behalf of a minor. If the Service is used on behalf of a minor, these terms apply to both the consenting parent/guardian and the minor.

 

Important: The Service is not intended for individuals under the age of thirteen (13). No one under age 13 may use any part of the Service or agree to this Agreement, even with parental or guardian consent. If you are a parent or legal guardian and believe that a minor under 18 has used the Service without your consent, please contact our support team immediately at support@eonmeds.com.

Acceptance of the Terms and Conditions

By accessing, registering for, or using any part of the Service, you confirm that you have read, understood, and agree to be legally bound by this Agreement, as well as all additional terms, conditions, and policies referenced in this document or made available through the Service. If you are using the Service on behalf of another person, business, or legal entity, you represent and warrant that you have the authority to bind such party to this Agreement. If you do not have such authority, or if you do not agree to these Terms and Conditions, you may not use the Service.

 

Your continued use of the Service constitutes your ongoing acceptance of this Agreement, including any modifications or updates published on the Platform. It is your responsibility to review the Agreement periodically to stay informed of any changes.

Your Relationship with Us

Apollo Based Health LLC, doing business as EONMeds (“EONMeds,” “we,” or “our”), offers certain products and services through the Service to individuals who register as users (“Users”). These products and services may be provided directly by EONMeds or through affiliated medical providers, pharmacies, laboratories, or other third parties.

 

Our Service enables access to prescription processing and fulfillment services through one or more licensed pharmacies (collectively, the “Pharmacies”) and may occasionally offer access to clinical laboratory or diagnostic services provided by certified labs (collectively, the “Laboratories”). By accepting this Agreement, you acknowledge and agree that your prescriptions may be filled by any of the Pharmacies and authorize EONMeds to facilitate such transfers on your behalf.

 

We may also offer access to medical groups (“Medical Groups”) that provide telemedicine and/or mental health services via the Platform. These Medical Groups employ or contract with licensed physicians, nurse practitioners, physician assistants, and mental health professionals (“Providers”), who may evaluate, diagnose, and treat you according to their professional judgment and applicable state laws. By accepting this Agreement, you acknowledge and agree that any services you receive from the Laboratories, Pharmacies, Medical Groups, or Providers through the Platform are also subject to this Agreement, and that each of these entities and professionals are third-party beneficiaries hereof.

 

EONMeds does not practice medicine or provide mental health care. We do not control or interfere with the independent clinical judgment of any Medical Group or Provider. Each Provider is solely responsible for the medical care, diagnosis, and treatment they provide to you. By using the Service, you understand that EONMeds is not acting as your healthcare provider, and that no doctor-patient or provider-patient relationship is established with EONMeds. However, use of the Service may result in a doctor-patient relationship with a Medical Group or one or more of its Providers.

 

We also do not control or interfere with the professional services provided by Laboratories or Pharmacies, which are solely responsible for the services they deliver.

 

By accepting this Agreement and using the Service, you consent to receive messages, reports, and emails from the Medical Group and/or Providers through the Platform, including information related to your diagnosis and treatment. You understand and agree that EONMeds is not responsible for the security or privacy of any third-party communication tools you use (e.g., your email provider) to receive such messages. You are solely responsible for monitoring and responding to those communications, and you agree not to hold EONMeds, any Medical Group, or any Provider liable for any damages, losses, or consequences resulting from your failure to read or respond to such messages, or to follow medical recommendations.

 

While no doctor-patient relationship is established with EONMeds, you are establishing a direct customer relationship with EONMeds when using the Service—for example, when purchasing over-the-counter products, wellness services, or other non-medical offerings sold directly by EONMeds. In the context of this relationship, you may provide us with personal and health information, which will be handled in accordance with our Privacy Policy. See the “Privacy Policy” and “Protected Information” sections below for more information.

Notice Regarding Your Financial Responsibility for Services

Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), and its affiliated Medical Groups are not enrolled in or participating providers with federal or state healthcare programs (such as Medicare or Medicaid) for the provision of medical, mental health, or wellness services. Therefore, neither you, EONMeds, nor the Medical Groups can receive payment or reimbursement from such programs for the services or products provided to you through the Service.

 

Additionally, while some Pharmacies, Laboratories, or Providers may be enrolled in state or federal healthcare programs, the manner in which services and products are offered through this Platform generally excludes those services or products from being considered covered benefits under such programs.

 

By choosing to use this Service, you understand and agree that all products and services you receive are provided on a direct-pay (cash-pay) basis, outside of any government coverage. You are therefore solely responsible for the full cost of any product, prescription, or service received through EONMeds or its affiliated providers.

 

By accepting and using the Service, you acknowledge and agree that:

 

  • You are knowingly choosing to obtain care and products outside of Medicare, Medicaid, or other government healthcare programs, and you accept full financial responsibility for all associated costs.

  • Neither you, nor EONMeds, nor any affiliated Pharmacy, Laboratory, Medical Group, or Provider will submit a claim for reimbursement to any federal or state healthcare program for the services or products provided through the Service.

Subscription Products and Services

Certain products and services available through the Service require an automatic, recurring subscription. When you purchase a subscription product or service, the payment method you selected will be automatically charged at the intervals specified during the checkout process, until you cancel the subscription.

 

Your first renewal charge may be processed earlier than scheduled to avoid interruptions in your treatment. Future charges and shipments may also occur up to two (2) days in advance to account for holidays or operational considerations related to maintaining your treatment.

 

EONMeds and/or affiliated Providers may occasionally contact you through the Platform to update your information and help maintain your subscription, although they are not obligated to do so.

 

You may cancel your subscription at any time by contacting our Customer Help Center at www.eonmeds.com/cancellations, calling 1-888-920-6025, or managing it through your online account. Cancellations take effect at the end of the current subscription period. If you do not cancel at least two (2) days before the renewal date, the subscription will automatically renew for another term.

 

We do not offer refunds for partially used subscription periods, although we may provide exceptions at our sole discretion. You may also have the option to pause your subscription temporarily. If you do not cancel before the pause period ends, billing will automatically resume.

 

We reserve the right to modify our subscription plans and pricing at any time. In such cases, we will notify you in advance before the changes take effect.

 

To simplify your experience, the total subscription price will be displayed as a single amount at checkout. This total may include:

 

  • Fees for use of the Service (EONMeds platform),

  • Charges for consultations with medical providers,

  • Costs of prescription medications dispensed by licensed pharmacies, and/or

  • Fees for mental health services provided through the Platform.

 

All components of your subscription are billed together. EONMeds collects and distributes the appropriate amounts to the participating Pharmacies and Medical Groups, as applicable.

Prescription Products

Some products available through the EONMeds Platform require a valid prescription issued by a licensed healthcare provider. You will not be able to access or receive any prescription product unless:

 

  • You complete a medical consultation with one of our authorized Providers,

  • The Provider determines that the prescription product is medically appropriate for your condition, and

  • The Provider issues a prescription in your name.

 

If a Provider determines that a prescription product is appropriate for you, you will be given options for how to fill the prescription. In many cases, you may choose to fill the prescription through one of our affiliated Pharmacies via the Platform, or you may select a pharmacy of your choice, as indicated during use of the Service or by contacting the Customer Help Center.

 

Please note that prescriptions may be transferred between affiliated Pharmacies without prior notice. Not all products dispensed by our Pharmacies use child-resistant packaging, so the prescription product you receive may not come in childproof containers.

 

In some cases, certain medications—especially those commonly used in primary care—may not be available through our Pharmacies and must instead be filled at a local pharmacy of your choice, as directed during your medical consultation.

 

If you choose to fill your prescription through one of our Pharmacies after completing the consultation, the product will be shipped to your address by the designated Pharmacy, and the cost of that prescription will be included in the total amount charged through the Platform, as described in the “Subscription Products” section.

 

If you prefer to fill the prescription at a pharmacy outside our network, EONMeds will send the prescription directly to the pharmacy you choose, and you will be solely responsible for picking up the medication and paying the applicable cost directly to that pharmacy.

 

All prescription products available through the Platform are considered “Third-Party Goods and Services” as defined in the relevant section of this Agreement.

Productos y Servicios de Laboratorio

Ciertos productos y servicios de laboratorio disponibles a través de la Plataforma de EONMeds—como kits de prueba para el hogar y servicios de diagnóstico—requieren una receta médica o una orden de laboratorio válida emitida por un proveedor de salud con licencia. No podrás acceder ni recibir estos servicios a menos que:

 

  1. Hayas completado una consulta con un Proveedor licenciado a través de la Plataforma,

  2. El Proveedor determine que el producto o servicio de laboratorio es médicamente adecuado para ti, y

  3. El Proveedor emita una receta u orden de laboratorio correspondiente.

 

Actualmente, todos los productos y servicios de laboratorio ofrecidos a través de la Plataforma solo pueden ser ordenados y procesados por nuestros laboratorios afiliados (los “Laboratorios”), y no están disponibles a través de laboratorios locales. Si tu Proveedor emite una orden de laboratorio, los materiales necesarios para realizar las pruebas serán enviados directamente a tu domicilio por el Laboratorio correspondiente. Limited Use and Availability

The EONMeds Service is currently available only to individuals who meet the following conditions:

 

  • Are physically located in a state where EONMeds operates and offers the Service,

  • Are at least eighteen (18) years of age or the legal age of majority in their place of residence (whichever is greater),

  • Have accepted this Agreement.

 

However, minors between the ages of 13 and 18 located in a state where the Service is offered may use it solely to receive a medical consultation related to acne treatment with topical products, provided such services are available and a parent or legal guardian has given consent, as outlined in this Agreement.

 

By visiting, registering for, or using the Service, you represent and warrant that:

 

(a) You are:

 (1) Over 18 years of age (or the age of majority in your jurisdiction, if greater), or

 (2) Over 13 years of age, have obtained parental or legal guardian consent, and will use the Service only for acne-related consultations involving topical treatments;

 

(b) If you are a parent or legal guardian providing consent for a minor under 18 (or the applicable age of majority), you have full legal authority to do so;

 

(c) At the time of your consultation with a Provider, you are physically located in the same state as the shipping address listed in your account;

 

(d) You will comply with all applicable laws and regulations while using the Service; and

 

(e) You will use the Service only for lawful and permitted purposes.

 

Service availability may be impacted by changes in state laws and regulations, and EONMeds reserves the right to restrict access accordingly.

 

Additionally, certain products offered through the Service may be subject to further age restrictions, and not all services are available to all age groups.

 

Please note that the EONMeds Platform is not always the most appropriate method for receiving medical care. Some conditions may require in-person procedures or care by a different type of healthcare professional. If the Provider determines that your situation requires an in-person visit, you will be notified that the Service is not available for that specific case, along with guidance on next steps.

Consent to Use Telemedicine Services

Telemedicine refers to the delivery of medical and mental health care services through electronic communications, digital technologies, or other remote methods between a licensed healthcare provider or mental health professional and a patient who are not in the same physical location. While telemedicine offers convenience and greater access to care, it also carries certain potential risks, such as limitations in physical examinations and the possibility of technical interruptions.

 

Telemedicine is not a replacement for in-person medical care in all cases, and some conditions may require in-person evaluations, testing, or treatment.

 

To use the EONMeds Service, you will be asked to review and agree to a specific informed consent regarding the use of telemedicine services (the “Patient Consent”). This document will be presented to you through the Platform before any virtual medical consultation takes place.

 

By accepting this Agreement, you agree that Apollo Based Health LLC, doing business as EONMeds, is a third-party beneficiary of the Patient Consent and has the right to enforce the terms of that consent if necessary.

Obligation to Provide Information, Access, and Connectivity

To use the EONMeds Service, you are solely responsible for obtaining and maintaining the necessary technology and internet connectivity, at your own risk, discretion, and expense. This includes, but is not limited to, a mobile device or computer with a functioning video camera and stable internet access, as required for Service features such as telemedicine consultations.

 

You are also responsible for all costs associated with accessing the Service, including mobile data charges, internet service provider fees, or any other expenses related to connectivity.

 

Additionally, you have an ongoing responsibility to provide truthful, accurate, and complete information in all forms, fields, and communications submitted through the Service. Any false statements or omissions may impact your access to or use of certain features on the Platform.

 

EONMeds reserves the right to modify or update the technical requirements of the Service at any time—including access configurations, software, or necessary hardware—without prior notice.

Privacy Policy

Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), understands the importance of protecting the confidentiality and privacy of your personal information. To learn more about how we collect, use, share, and protect your personal and health data, please refer to our Privacy Policy.

 

By using the Service, you acknowledge and agree to the practices described in that Privacy Policy.

Protected Health Information

When you create an account with Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), you are establishing a direct customer relationship that allows you to access and use various features of the Service. As part of this relationship, you may provide personal information—such as your name, email address, shipping address, and phone number—which we collect, use, and disclose in accordance with our Privacy Policy. This type of information is not considered medical or health information.

 

However, by using certain clinical features of the Service, you may provide medical or health-related information that could be protected under applicable federal or state laws. EONMeds is not a “covered entity” under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). Some affiliated Pharmacies, Laboratories, or Medical Groups may be covered entities or “business associates” under HIPAA, and in certain instances, EONMeds may act as a business associate on their behalf.

 

It is important to understand that HIPAA does not automatically apply to every situation involving health information. The law only applies in specific contexts and relationships. Therefore, your communications or transactions with EONMeds, Medical Groups, Providers, Laboratories, or Pharmacies may not be subject to HIPAA.

 

Nonetheless, if EONMeds acts as a business associate, it may be subject to certain HIPAA obligations in relation to your “Protected Health Information” (PHI) when that information is processed on behalf of a Laboratory, Pharmacy, or Medical Group. Additionally, any medical information protected under specific state laws will be handled in accordance with those laws as “Protected Information.”

 

Information that does not qualify as Protected Information under HIPAA or state laws may be used or disclosed as outlined in our Privacy Policy. This includes personal data not related to diagnosis, treatment, pharmacy, or laboratory services. It also includes information that has been de-identified under HIPAA standards, which is not considered Protected Health Information.

 

Each Medical Group and Provider you interact with through the Platform has adopted a Notice of Privacy Practices, which explains how your Protected Information is used and disclosed. By accessing or using the Service, you acknowledge that you have received this Notice from your Medical Group and/or Provider(s).

 

By using the Service, you agree that—regardless of whether HIPAA applies to EONMeds, Medical Groups, Providers, Laboratories, or Pharmacies—any information you provide that is not solely for the purposes of diagnosis, treatment, prescription fulfillment, or laboratory services will not be considered Protected Health Information and will be handled only in accordance with our Privacy Policy and applicable state laws.

Registration; User Accounts, Passwords, and Security

To access and use the EONMeds Service, you must register and create a User account on the Platform. The Service is available only to registered users who have been issued valid login credentials (username and password). For clarity, the information you provide during registration—such as name, email address, username, shipping address, and phone number—is not considered Protected Health Information, as defined in the “Protected Health Information” section above.

 

You agree to maintain and promptly update the personal information you provide to EONMeds, its Medical Groups, Providers, Pharmacies, or Laboratories to keep it accurate and complete. If you provide false, incomplete, or outdated information—or if we reasonably suspect you have done so—we reserve the right to suspend or terminate your account and access to the Service.

 

You also agree to:

 

  • Immediately notify EONMeds of any unauthorized use of your username, password, or any other security breach by contacting our Customer Help Center;

  • Keep your login credentials confidential;

  • Log out of your account at the end of each session; and

  • Never use another person’s account.

 

EONMeds expressly disclaims all liability for any loss or damage resulting from your failure to comply with these obligations.

 

During the registration process, you will be asked to create a username and password, which you will use to log in to the Platform. To protect your information, EONMeds uses encryption technologies such as Secure Sockets Layer (SSL) or similar systems to encrypt personally identifiable information transmitted through the Service. We also implement security measures to help protect user data from unauthorized access.

 

However, the Service operates across multiple software, hardware, and network components, which may require maintenance or experience interruptions or security failures beyond our control. Additionally, individuals with physical access to your devices (such as computers or mobile phones) may view your account and medical information if you do not take appropriate precautions.

 

You are solely responsible for logging out after each session, securing physical access to your devices, and keeping your credentials confidential.

 

You must exercise caution and sound judgment when using the Service. Any attempt to compromise the security of the Service is strictly prohibited and may result in civil and/or criminal penalties. EONMeds reserves the right to investigate any suspected security breach and will cooperate with law enforcement if criminal activity is suspected.

Use and Ownership of the Service

The EONMeds Service and all associated Content are protected by worldwide copyright and intellectual property laws. Subject to the terms of this Agreement, Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), grants you a limited, non-transferable, and revocable license to access and use the Service solely for your personal, non-commercial use.

 

Unless otherwise provided in a separate license or agreement, your right to use the Service and its Content is governed exclusively by this Agreement. All rights, title, and interest in and to the Service and its Content are the exclusive property of EONMeds or its licensors/providers.

 

This includes, but is not limited to:

 

  • Programming code

  • Website structure and user interface

  • Text, blog articles, product descriptions

  • Photographs, videos, illustrations, animations, audio files, and music

  • Designs, workflows, operational methods, documentation, and all creative elements

 

You agree not to remove, obscure, or alter any copyright, trademark, service mark, or other proprietary notices displayed on or alongside the Service or its Content.

 

The name, logo, trademarks, and related graphics of EONMeds are the exclusive property of EONMeds and may not be used without prior written authorization, including in connection with any third-party products or services. Any other trademarks, logos, or trade names appearing on the Platform are the property of their respective owners.

License to Information Submitted Through the Service

Except where legal restrictions apply regarding Protected Health Information or other applicable privacy laws, any information, content, or material you submit to Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), through the Service—whether through direct input, forms, email, messaging, or other means—including data, questions, comments, suggestions, or forum contributions (collectively, “Submissions”)—will, to the extent permitted by law, be treated as non-confidential and non-proprietary.

 

Unless you configure your account to restrict access to such Submissions, you grant EONMeds a worldwide, irrevocable, perpetual, non-exclusive, fully sublicensable, royalty-free, and fully paid-up license to use, distribute, reproduce, modify, adapt, translate, publish, perform, and publicly display your Submissions (in whole or in part), for the purpose of operating, enhancing, and delivering the Service to you and other users.

 

You represent and warrant that you have the legal rights necessary to grant this license and that any intellectual property or moral rights associated with the Submissions have been effectively waived or transferred to you, allowing you to license the content to EONMeds.

 

You understand and agree that:

 

  • You are solely responsible for all Submissions you make through the Service.

  • EONMeds reserves the right to edit, duplicate, adapt, or modify any Submission at its sole discretion and for any reason it deems necessary.

  • You irrevocably waive any moral rights you may have in the Submission.

  • You are not entitled to any compensation or approval for the use of your Submission.

 

If any Submission contains Protected Information, EONMeds’ use and disclosure of that information will be limited as required by applicable law and governed by the “Protected Health Information” section of this Agreement.

Prohibited Use

You are strictly prohibited from using or attempting to use the EONMeds Service in any of the following ways:

 

i. For any illegal, unauthorized, fraudulent, or malicious purpose;

ii. In a manner that could damage, disable, overburden, or impair the operation of any server or connected network;

iii. In a way that interferes with other users’ use of the Service;

iv. To gain unauthorized access to accounts, systems, or networks through methods such as hacking or password theft;

v. To access data or systems not intended for you;

vi. To obtain materials or information not intentionally made available by EONMeds;

vii. To reverse engineer, decompile, or disassemble any part of the Service;

viii. For any purpose other than the legitimate commercial use of the Service.

 

Additionally, you agree not to:

 

a. Upload, post, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or discriminatory based on race, gender, sexuality, ethnicity, or any other protected characteristic, or that violates another person’s privacy or image rights;

b. Create a false identity or impersonate any person, including EONMeds personnel;

c. Share or post material you do not have the legal right to use or disclose (e.g., under a confidentiality agreement);

d. Upload files containing viruses, malware, spyware, worms, or any other harmful code;

e. Remove author attributions, legal notices, or labels from content you upload;

f. Use communication tools in a disruptive way (e.g., typing in ALL CAPS or sending repeated messages);

g. Send unsolicited promotional content, spam, chain letters, or pyramid schemes;

h. Violate any local, state, national, or international law;

i. Upload content that infringes copyrights, trademarks, patents, or trade secrets;

j. Delete or alter content posted by others;

k. Use framing or mirroring techniques to alter the visual presentation of the Service;

l. Test system security or authentication without authorization;

m. Subscribe or unsubscribe others without their explicit consent;

n. Collect or harvest information about other users, such as email addresses;

o. Use bots, spiders, or scrapers to extract, copy, or distribute content or data from the Service;

p. Assist or enable others to engage in any of the above activities.

 

EONMeds reserves the right to take any necessary legal or administrative action—including suspending or terminating accounts—if it detects or suspects any violation of these conditions. EONMeds may also cooperate with law enforcement authorities in civil or criminal investigations.

 

Unless otherwise required by law or our Privacy Policy, EONMeds reserves the right to disclose any information it deems necessary to comply with legal or governmental requests, and to edit, delete, or reject content at its sole discretion.

Use of Meta Platform Data

Our application may access limited data from Meta platforms (e.g., Facebook or Instagram) for the purpose of retrieving leads submitted through Facebook Lead Ads. This data may include your name, email address, and phone number.
 
We do not share or sell this data to third parties. All Meta platform data is stored securely and only used internally to contact and assist users who have submitted interest through our ads.
 
Users can request to delete their Meta-related data by contacting us at support@eonmeds.com. You may also view our Privacy Policy and Data Deletion Instructions for more details.

Right of Monitoring

Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), reserves the right to monitor general use of the Service at any time, as it deems appropriate. EONMeds may, at its sole discretion, remove any content or material that:

 

  • Is unlawful,

  • Could create legal liability for EONMeds,

  • Violates this Agreement, or

  • Is, in EONMeds’ sole judgment, inconsistent with the purpose or values of the Service.

Third-Party Goods and Services

Entities other than Apollo Based Health LLC, doing business as EONMeds (“EONMeds”)—including but not limited to Laboratories, Pharmacies, affiliated Medical Groups, and Providers (collectively, “Third Parties”)—may offer services or sell products through the EONMeds Platform. In some cases, EONMeds may also make available products, devices, or services that are manufactured, sold, or distributed by Third Parties (“Third-Party Goods and Services”).

 

Your use of Third-Party Goods and Services, as well as your interactions with Third Parties—including payment processing, delivery, warranties, returns, or any other terms or conditions—is solely between you and the Third Party. You are encouraged to conduct your own research and evaluation before engaging in any online or in-person transaction with a Third Party.

 

You are solely responsible for exercising caution, sound judgment, and common sense—especially when sharing personal information through the Service.

Terms of Sale

All products and services offered for sale by Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), are subject to availability. We reserve the right to limit quantities on any order or to reject any order, in whole or in part, without prior notice. In the event of typographical, pricing, or other errors, we reserve the right to correct such errors and update your order (including adjusting the price charged), or to cancel the order and issue a full refund.

 

Prices are subject to change at any time and without prior notice. You are responsible for paying any applicable taxes, fees, duties, or other governmental charges on your purchase (“Taxes”). EONMeds will collect Taxes when legally required to do so. Estimated taxes shown during checkout may vary at the time of invoicing due to factors such as system rounding or rate changes. If we do not collect certain Taxes, you may be responsible for reporting and paying them directly to the appropriate tax authority.

 

Only valid and authorized payment methods accepted by EONMeds may be used to complete a transaction. By submitting your payment, you represent and warrant that you are authorized to use the selected payment method. You authorize us to charge the full amount of your order, including applicable taxes and shipping/handling fees, to the payment method you provide.

 

If your payment method is declined, we may attempt to process the charge multiple times until approved. Our payment processors, Square and Stripe (collectively, the “Payment Processors”), may also request updated card information—such as a new number or expiration date—from your bank or card issuer. If we receive such updates, you authorize EONMeds to update your account and use the new information to process future payments, including subscription charges. You may opt out of automatic card updates by contacting your card issuer. EONMeds is not responsible for any charges or fees imposed by your bank or card issuer. If a charge is reversed, we may invoice you directly or seek payment through alternative methods.

 

If one or more items in your order are unavailable, you will only be charged for the items that are shipped. During the checkout process, you may be required to provide relevant information such as card number, expiration date, billing and shipping addresses, phone number, and/or email address. By providing this information, you grant EONMeds the right—at no cost—to share it with third parties (such as payment processors or vendors) solely to facilitate the transaction.

 

All monetary transactions through the Service are processed via online payment systems provided by our Payment Processors: Square (https://squareup.com/) and Stripe (https://stripe.com/). You may review their privacy and security policies directly on their websites. These references are for informational purposes only and are not part of this Agreement.

 

EONMeds’ relationship with its Payment Processors is strictly contractual. These entities are independent third parties and are not representatives, partners, employees, agents, or fiduciaries of EONMeds.

 

You agree to pay any shipping and handling charges shown at the time of purchase. These fees may increase, decrease, or be removed in the future, but any change will be communicated to you before you confirm your purchase. Delivery dates or timeframes shown during checkout are estimates and not guaranteed. Unless otherwise stated in writing, the risk of loss or damage passes to you once the product is delivered to the carrier.

 

EONMeds reserves the right to resolve customer concerns or issues on a case-by-case basis, at its sole discretion, based on the facts and circumstances of each individual situation.

Termination

Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), may terminate your access to the Service—or to any of its features or functionalities—at any time and for any reason, with or without prior notice. This includes, but is not limited to, conduct that violates this Agreement, the termination of agreements between EONMeds and Medical Groups, Laboratories, or Pharmacies, or the discontinuation of the Service itself.

 

In the event of termination, the following provisions of this Agreement will remain in effect:

 

  • Service security

  • Prohibited activities

  • Intellectual property (copyright and trademarks)

  • User submissions or content

  • Disclaimers

  • Limitations of liability

  • Arbitration and dispute resolution

  • Indemnification

  • Jurisdictional matters

 

If your access to the Service is terminated, you agree not to attempt to use the Service again under any name, whether real or fictitious. If you violate this condition, you agree to indemnify and hold EONMeds and its affiliates harmless from any resulting legal or financial consequences.

 

Unless otherwise required by applicable law or stated in our Privacy Policy, EONMeds has no obligation—either before or after termination—to return or provide to you or any third party on your behalf:

 

  • Any content or information you submitted,

  • Any data provided by your Providers,

  • Or any other information related to your use of the Service.

Exemptions of Liability

Any content, information, or material made available through the EONMeds Service is provided as a courtesy to users. Your access to and reliance on the Service and its content is at your own risk.

 

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” USE OF THE SERVICE IS VOLUNTARY AND ENTIRELY AT THE USER’S OWN RESPONSIBILITY.

 

Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), along with Medical Groups, Providers, Laboratories, Pharmacies, and any third party offering products or services through the Platform, expressly disclaim— to the fullest extent permitted by law—any and all warranties or conditions, whether express, implied, statutory, or otherwise, including, without limitation:

 

  • Implied warranties of merchantability,

  • Non-infringement of third-party rights,

  • Satisfactory quality, and

  • Fitness for a particular purpose.

 

This disclaimer applies to all aspects of the Service, including information, content, services, products, goods, or other materials offered through the Platform.

 

EONMeds makes no guarantees or assurances regarding the accuracy, completeness, timeliness, reliability, or usefulness of any part of the Service.

 

Likewise, we do not guarantee that the Service will operate without interruptions, delays, errors, or issues, including but not limited to:

 

  • System flaws

  • Cyber threats

  • Network outages

  • Viruses or malware

  • Corrupted files

  • Technical failures

 

Your use of the Service is entirely your own choice and at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), shall not be liable to you or to any other person or entity for any incidental, indirect, special, exemplary, or consequential damages. This includes, without limitation:

 

  • Personal or bodily injury,

  • Emotional distress,

  • Wrongful death,

  • Loss of data,

  • Loss of income or profits, or

  • Any other damage related to:

     

    • The use of or inability to use the Service,

    • Any information or content available through the Service, or

    • Services provided or products sold by third parties through the Platform.

 

This limitation applies regardless of the legal theory asserted, whether in contract, warranty, tort (including negligence), or otherwise—even if EONMeds has been advised of the possibility of such damages.

 

EONMeds’ total liability shall be limited to the actual amount of damages suffered, up to a maximum of one thousand U.S. dollars (US $1,000).

 

Any claim related to your use of the Service or its content must be brought within one (1) year of the event giving rise to such claim. Claims filed after that period will be void.

 

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such cases, our liability will be limited to the minimum extent permitted by applicable law.

 

Indemnification

 

You agree to defend, indemnify, and hold harmless EONMeds—including its affiliates, employees, directors, agents, contractors, and Third Parties offering products or services through the Platform, such as Medical Groups, Providers, Laboratories, and Pharmacies—from any claim, action, proceeding, damage, loss, cost, or expense (including attorneys’ fees) arising out of or relating to:

 

  • Your use or misuse of the Service,

  • Your violation of this Agreement or any applicable law,

  • Your infringement of third-party rights, or

  • Any act of fraud, gross negligence, or willful misconduct on your part.

 

EONMeds reserves the right to assume the defense of any third-party claim for which it is entitled to indemnification. You agree to cooperate reasonably with us in such defense.

Notifications

Unless otherwise specified in this Agreement, all notices and communications required or permitted under this Agreement shall be provided by EONMeds via one or more of the following methods:

 

  • Email to the address associated with your account,

  • Text message, if you have opted in to receive SMS communications,

  • Posting within your user account or dashboard on the Platform,

  • Updates on the EONMeds website, or

  • Mail, if applicable and permitted by law.

 

You agree that any of these methods will constitute sufficient notice under this Agreement and that such notice will be deemed received by you immediately upon transmission (for electronic notices) or within three (3) business days of mailing (for physical notices).

Electronic Communications

When you access or use the Service, or send emails or SMS messages to EONMeds, a Medical Group, or its Providers, you are communicating with us electronically. You agree to receive communications from EONMeds, the Medical Group, and its Providers by electronic means.

 

We may communicate with you through:

 

  • Email

  • Text messages (SMS)

  • Notifications or messages within the Service

 

You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. You also agree that any electronic notice sent by us shall be deemed delivered and received on the date it is transmitted, as outlined in this Agreement.

Copyright

It is the policy of Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), to terminate access to the Service for any user who repeatedly infringes copyright, upon proper notification by the rights holder or their authorized legal representative.

 

If you believe that your copyrighted work has been copied or posted on the Service in a way that constitutes copyright infringement, please notify our Copyright Agent by providing the following information:

 

  • A physical or electronic signature of the person authorized to act on behalf of the copyright owner;

  • A description of the copyrighted work you claim has been infringed;

  • A description of the exact location on the Service where the allegedly infringing material appears;

  • Your name, address, telephone number, and email address;

  • A written statement, made in good faith, that the disputed use is not authorized by the copyright owner, its agent, or the law; and

  • A statement, made under penalty of perjury, that the information you have provided is accurate and that you are the copyright owner or are authorized to act on their behalf.

Entire Agreement

This Agreement, together with any other agreement that Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), may publish on the Service or that you and EONMeds may enter into from time to time, constitutes the complete and final agreement between you and EONMeds regarding your use of the Service. This Agreement supersedes any prior agreements or understandings, including earlier versions of this Agreement, between you and EONMeds related to your use of the Service.

YOU AND WE EXPRESSLY AGREE that any legal claim, dispute, or controversy between you and us—or any party related to EONMeds, including Medical Groups, Providers, Laboratories, or Pharmacies—arising out of or in any way relating to EONMeds, the Platform, Content, the Service, or any EONMeds product, service, or advertisement, including disputes over the applicability, enforceability, or validity of any provision of this Agreement (collectively, “Disputes”), and not resolved through an Informal Dispute Resolution Conference (as defined below), shall be resolved through confidential and binding arbitration conducted by a commercial arbitrator from National Arbitration & Mediation (NAM), instead of in court, as further detailed herein.

 

Arbitration will be governed by the NAM Comprehensive Dispute Resolution Rules and Procedures, and if applicable, the NAM Mass Filing Supplemental Dispute Resolution Rules (collectively, the “Rules and Procedures”).

 

YOU AND EONMEDS-RELATED PARTIES ACKNOWLEDGE THAT YOU ARE KNOWINGLY AND VOLUNTARILY WAIVING THE RIGHT TO A JURY TRIAL AND TO LITIGATE IN A STATE OR FEDERAL COURT, except as expressly stated herein.

 

For purposes of this Arbitration Agreement, “Dispute” also includes disputes that arose or involve facts occurring before the effective date of this or any prior version of the Terms and Conditions, as well as claims that may arise after termination of these Terms.

 

 

Informal Dispute Resolution Conference (IDRC)

 

Before initiating arbitration, both parties agree to make a good faith effort to resolve the Dispute informally via a phone or video conference. This Informal Dispute Resolution Conference must occur within 45 days after one party notifies the other of its intention to initiate such a conference.

Arbitration Initiation & Procedure

Fees, Rules, and Sanctions

 

All arbitration filing, administrative, and arbitrator fees will be governed by NAM’s current fee schedule. The arbitrator may impose Rule 11–style sanctions (as per the Federal Rules of Civil Procedure) if claims are frivolous, legally baseless, or filed in bad faith.

 

Each party is responsible for its own attorney’s fees unless applicable law provides otherwise.

 

Arbitration will be conducted in San Francisco, CA or your county of residence, unless the Batch Arbitration process applies.

 

 

Class Action and Jury Waiver

 

YOU AND WE AGREE:

 

  • Disputes must be resolved on an individual basis only.

  • No claims may proceed as part of a class, representative, or mass action.

  • Arbitrators may only provide relief to the individual party involved.

  • No arbitrations may be joined or consolidated unless both parties agree or as outlined under Batch Arbitration.

 

If any claim cannot be arbitrated under these terms due to applicable law, that claim will be handled exclusively in the courts of San Francisco, CA.

 

 

Exceptions

 

Either party may seek injunctive or equitable relief in court (San Francisco, CA) if the dispute involves:

 

  • Intellectual property violations

  • Theft, hacking, or Computer Fraud and Abuse Act violations

 

 

Batch Arbitration

 

If 25 or more similar claims are filed against EONMeds by the same firm or coordinated group within 90 days:

 

  • NAM will group them into batches of up to 100 per arbitrator.

  • Each batch will have a single process, single hearing, and single award.

  • An Administrative Arbitrator will resolve disputes over batching eligibility.

 

This process does not constitute mass, class, or representative arbitration unless explicitly permitted.

 

If a court finds Batch Arbitration invalid, then this entire Arbitration Agreement will be void, and disputes may proceed in court in San Francisco, CA.

 

 

Right to Opt Out

 

You may opt out of this Arbitration Agreement within 30 days of first becoming subject to it. To opt out, send:

Governing Law; Jurisdiction; Severability

This Agreement, and any Dispute between you and Apollo Based Health LLC, doing business as EONMeds (“EONMeds”), shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles, and the Federal Arbitration Act shall govern all matters related to arbitration.

 

Unless otherwise provided in the Arbitration Agreement:

 

  • You and EONMeds agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco, California for any legal action or proceeding permitted under this Agreement and not subject to arbitration.

  • You waive any objection to venue and personal jurisdiction in those courts.

 

If any provision of this Agreement is found to be unlawful, void, or unenforceable for any reason by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be interpreted in a way that best accomplishes its original intent to the fullest extent permitted by law. If that is not possible, the invalid portion shall be severed from the Agreement.

 

This section survives the termination of your use of the Service.

No Agency Relationship

Neither this Agreement nor your use of the Content, materials, or functionalities of the Service creates any partnership, joint venture, employment, or agency relationship between you and EONMeds, or with any affiliated Medical Groups, Providers, Laboratories, or Pharmacies.

 

You are not authorized to enter into contracts on our behalf or to otherwise bind us in any manner.

Assignment

You may not assign any of your rights under this Agreement. Any attempted assignment will be null and void.

 

EONMeds may, at its sole discretion, assign or transfer this Agreement—and some or all of its contractual rights and obligations—in whole or in part, without your consent or further notice, to any of its affiliates or to a third party in the event that all or part of its business is transferred to such third party through a merger, asset sale, or other transaction.

Third-Party Beneficiaries

Any use of third-party software provided in connection with the Service, or any access to or use of Third-Party Goods and Services within the Service, shall be governed by the applicable license or terms of use of that third party, if such terms exist. If no such license or terms apply, the provisions of this Agreement will govern. In addition to this Agreement, your use of the Service must comply with all applicable third-party terms and conditions, where relevant.

 

Except as set forth above—or as expressly stated in this Agreement, including provisions related to indemnification in favor of EONMeds, Medical Groups, Pharmacies, Laboratories, and Providers, and the Arbitration Agreement—the parties expressly agree that there is no intent to confer any third-party beneficiary rights or benefits to any person, subcontractor, or other entity mentioned in this Agreement.

 

Unless expressly stated otherwise herein, no third party shall have any right to enforce or benefit from any provision of this Agreement.
